Terms of Use

These Terms of Use govern your use of the Sites and all information, text, data, images, and other materials ("Content") or software ("Software") available via the Sites, except to the extent such Content or Software is the subject of a separate agreement.

Actipro reserves the right to modify and update these Terms of Use and the Privacy Policy at any time. Your continued use of the Sites after any changes to these Terms of Use or the Privacy Policy indicates that you accept those changes.

Actipro may improve, update, remove, or monitor the Sites, Content, or Software at any time and without notice or permission from you.

Content is provided "as is" and may contain technical inaccuracies or typographical errors. Use the Content at your own risk.

You may not copy, reproduce, publish, distribute, transmit, or use for the creation of derivative works any portions of the Content without Actipro's prior written consent.

Content may include references or links to third-party web sites or resources ("External Sites"). Actipro provides these External Sites references and links purely for informational purposes, and in no way endorses or accepts responsibility for any content within, or the use of, the External Sites. Use of External Sites is done at your own risk.

Actipro does not wish to receive any proprietary or confidential Content or Software from you. Any Content or Software submitted to Actipro or the Sites will not be deemed confidential, and Actipro is under no obligation to keep such information or materials confidential. You further acknowledge that Actipro will have an unrestricted, irrevocable, perpetual, royalty-free and sublicensable right license to reproduce, modify, distribute, display, and use such information or materials, and that Actipro is free to use any ideas, know-how, or techniques that you send to us for any purpose.

Certain portions of the Sites require a user account to be created. You agree to provide and maintain complete, accurate, and up-to-date information as prompted for your user account. You are responsible for managing the confidentiality of your password and any other non-public account information. Actipro may require you to change portions of your account information at any time and for any reason.

You are entirely responsible for any and all activities that occur under your account, and Actipro will not be liable for any loss that may be incurred from someone else using your account, with or without your knowledge. You will notify Actipro immediately of any unauthorized use of your account or any other breach of security.

All Content appearing on the Sites is protected by copyright under United States Copyright laws, and is the intellectual property of Actipro or the party credited as the provider of the content. Any rights not expressly granted herein are reserved.

You may not use the Sites for any purpose that is unlawful, or prohibited by these Terms of Use or any applicable laws and regulations.

Actipro and its suppliers expressly disclaim any and all warranties and representations with regard to the Sites, Content, and Software including, but not limited to, the warranties of title, merchantability, non-infringement of third-parties' rights, and fitness for a particular purpose. The use of the Sites, Content, and Software is entirely at your own discretion and risk.

To the maximum extent permitted by applicable law, in no event shall Actipro or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Sites, Content, Software, or the provision of or failure to provide support services, even if Actipro has been advised of the possibility of such damages.

You agree to indemnify and hold harmless Actipro, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims liabilities, damages, losses, or expenses, including attorneys' fees and costs, due to or arising out of your use of the Sites, Content, or Software, including but not limited to your violation of these Terms of Use.

Actipro, at its sole discretion, may at any time terminate your access to all or any portion of the Sites and Content, with or without cause, and without prior notice. Upon notice of such termination, you must immediately discontinue use of the Sites. All provisions of the Terms of Use, which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty information, indemnity, and limitations of liability.

Per the Actipro's Export Compliance Policy, Actipro complies with all export restrictions imposed by the government of the United States. You expressly agree not to use, deploy, or export any portion of the Sites, Content, or Software in or to any country, person, or entity subject to United States export restrictions.

These Terms of Use shall be construed, interpreted, and governed in accordance with the laws of the State of Ohio, USA, without regard to the choice-of-law principles thereof. Any action seeking legal or equitable relief arising out of or relating to these Terms of Use shall be instituted only in a state or federal court in Cleveland, Ohio, USA.
